Requirements to Become Distributors

Minimum 500 sq.ft space for storage and basic operational setup required.

Agreement & Term Details

• Actively promote and sell the Products in the assigned territory.

• The Distributor shall pay a refundable security deposit of Rs..1,50,000/-(One Lakh Fifty Thousand Rupees only). The deposit is valid for 3 years from the agreement date. It is refundable (non-interest bearing) upon successful completion of the agreement term, subject to no outstanding dues or contract violations. In case of early exit without prior notice (minimum 3 months) or breach of agreement, the Company reserves the right to forfeit the deposit fully or partially.

• Maintain adequate stock levels to meet customer demand.

• The Distributor shall place orders in writing or via the agreed communication channel.

• Ensure proper storage, handling, and transportation of the Products.

• Provide monthly sales reports to the Company.

• Adhere to branding, pricing, and marketing guidelines as set by the Company.

• Once this agreement is signed, the Second Party shall not sell, promote, or distribute any other brand of packaged drinking water during the validity of this agreement. Violation of this clause will be treated as a breach of contract, and may result in termination and forfeiture of the security deposit.

• Product prices shall be provided in the Company's official price list and may be updated with 30 days notice.

• 50% of the total invoice amount must be paid in advance (before dispatch of goods). Remaining 50% is to be paid immediately upon delivery. No credit facility will be extended during the initial engagement.

• Credit terms may be reviewed and offered later, only after consistent order volume, timely payments and mutual trust.

• If any credit line provided, payment for invoices under the credit facility shall be made within 10 days of invoice date. The Company reserves the right to revoke or reduce the credit limit if payment delays occur.

• The Company reserves the right to suspend deliveries for accounts overdue by more than 10 days.

• The Distributor shall use the Company’s trademarks and logos only in accordance with the Company’s brand guidelines.

• Unauthorized use or modification of branding is strictly prohibited.

This Agreement may be terminated:

• By either party with 60 days' written notice.

• Immediately, for cause, in the event of a breach of contract, insolvency, or illegal activity.

Upon termination:

• The Distributor shall cease representing the Company and return any unused marketing materials.

• Outstanding payments must be settled within 10 days.

• Remaining stock may be sold with written permission from the Company.
